Terms of Use
PEARL Patient Intake System by BrandKlout
Effective date: October 19, 2026
1. Agreement to these terms
These Terms of Use are an agreement between you and BrandKlout, Inc. ("BrandKlout," "we," "us"). They cover your use of the PEARL Patient Intake System training at academy.brandklout.ai (the "Service"). By using the Service, you agree to these terms and to our Privacy Policy. If you don't agree, don't use the Service.
If you enroll a dental practice (the "Practice"), you confirm that you have the authority to accept these terms for it. If the Practice has a signed agreement or order form with BrandKlout, that agreement controls where it conflicts with these terms.
2. The Service
The Service helps dental teams practice patient conversations. It includes:
- Demo calls: a 4-minute practice call with an AI patient. No account needed.
- Enrolled training: lessons on the PEARL method, voice practice calls with AI patients, and AI coaching after each call.
- PEARL Certification and treatment tracks: available to enrolled users as described in the Service.
We may add, change, or remove features. If a change significantly reduces what a Practice has paid for, its order form governs what happens next.
3. Eligibility and accounts
You must be at least 18 and use the Service for work. The Service is available only in the United States and Canada.
- Team member accounts. Your Practice decides who gets an account. Your access ends if your Practice removes you or its enrollment ends.
- Practice administrators manage team members and see their results. They're responsible for activity under the Practice's accounts.
- Keep your account secure. Don't share your sign-in codes or password, and don't let anyone else use your account. Tell us right away at [email protected] if you think someone has.
- Accurate information. Keep your account information accurate and current.
4. Practice enrollment and fees
Practices enroll through an order form or a signed agreement with BrandKlout. That document sets the fees, billing schedule, term, renewal, cancellation, and any refund or guarantee terms. These Terms of Use don't add refund rights or remove them.
Fees are flat. They aren't based on patient revenue, cases accepted, or treatment delivered.
The demo is free and may be limited or withdrawn at any time.
5. Acceptable use
Use the Service only for training your Practice's team. Don't:
- Enter real patient information (see section 6)
- Share accounts, or give access to anyone outside your Practice
- Copy, resell, or redistribute the Service, its scenarios, or its training materials
- Scrape the Service, reverse engineer it, or extract its prompts or scoring logic
- Use the Service, or anything from it, to build or train a competing product or AI model
- Try to manipulate scores or certification, for example with scripts or by having someone else take a call for you
- Upload anything unlawful, harassing, or infringing, or anything that contains malware
- Interfere with the Service's security or bot protection, or overload it
- Use the Service for clinical decisions, diagnosis, or treatment planning
We may suspend access if we reasonably believe these rules have been broken.
6. No patient information
The Service is for practicing with fictional AI patients. Don't enter, say, or upload real patients' names, contact details, health information, or anything else that could identify them.
The Service isn't designed to receive protected health information (PHI), and BrandKlout isn't your HIPAA business associate for it. The Practice is responsible for training its team on this rule. If patient information is entered, we may delete it and suspend the account involved, and we'll let the Practice know.
7. Recording and transcription
When you start a practice call, you agree to us recording and transcribing your voice and processing it with AI to run and score the call. The Privacy Policy explains how long we keep recordings and transcripts, and who processes them.
The Practice agrees to tell its team members, before they use the Service, that:
- Their practice calls are recorded, transcribed, and scored
- Practice administrators can see their results
The Practice also agrees to treat PEARL scores and certification as training tools. It won't make them the only basis for hiring, firing, discipline, or pay decisions.
8. AI-generated content and coaching
The patients, coaching, and scores in the Service are generated by AI. They're for training only, and they can be wrong, incomplete, or inconsistent from one call to the next.
Nothing in the Service is clinical, legal, financial, or compliance advice. The Practice is responsible for what its team says to real patients, including:
- Statements about treatment, outcomes, comfort, and pricing
- Financing and insurance disclosures
- Compliance with dental board rules, advertising rules, and privacy laws
Team members should leave clinical questions to the dentist.
9. PEARL Certification
PEARL Certification is a BrandKlout training credential. It shows that you completed a certification call that met the PEARL rubric.
- It isn't continuing-education (CE) credit, a professional license, or a board certification.
- It doesn't guarantee how you'll perform on real calls.
- If a result is decided only by automated scoring, you can ask us to have a person review it.
- We may revoke a certification that was earned by breaking section 5, for example by having someone else take the call.
10. Intellectual property
BrandKlout owns the Service, including its software, the PEARL method and rubric, scenarios, lessons, coaching content, and design. PEARL Patient Intake System™ and BrandKlout™ are our trademarks.
We give you a limited, non-exclusive, non-transferable license to use the Service for your Practice's internal training while you have access. Your Practice may use what its team learns in its own patient conversations. It may not teach, package, or sell the PEARL method or our materials to anyone else.
We keep all rights we don't expressly grant in these terms.
11. Your content and feedback
"Your content" means what you say and submit in the Service, such as call audio and transcripts. You keep your rights in it. You give BrandKlout permission to host, process, and analyze your content to run, secure, and support the Service.
We may use de-identified content and usage data to improve the Service, including PEARL scenarios, coaching, and scoring. De-identified data can no longer reasonably identify you or your Practice. We may also publish aggregate statistics, such as typical first-call scores, that identify no one.
If you send us feedback or ideas, we may use them without any obligation to you.
12. Third-party services, suspension, and termination
The Service relies on third-party providers, such as hosting, AI, email, and bot-protection services. We're not responsible for outages or failures on their side that are outside our reasonable control.
We may suspend or end your access if:
- You break these terms
- Your Practice's enrollment ends or its fees go unpaid
- We need to protect the Service, other users, or the public
Where it's reasonable, we'll give notice first. A Practice's own termination rights are in its order form. When access ends, your right to use the Service ends, and we handle your data as the Privacy Policy describes. Sections 6, 8, 10, 11, 13 through 16, and 18 continue to apply after access ends.
13. Disclaimers
The Service is provided "as is" and "as available." To the extent the law allows, BrandKlout disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Service will be uninterrupted or error-free. We don't promise that AI output will be accurate, or that training will improve case acceptance, bookings, or revenue.
14. Limitation of liability
To the extent the law allows:
- No indirect damages. BrandKlout isn't liable for indirect, incidental, special, consequential, or punitive damages. That includes lost profits, revenue, patients, or data.
- Cap. BrandKlout's total liability for all claims about the Service is limited to the greater of (a) the fees the Practice paid for the Service in the 12 months before the event that caused the claim, or (b) US$100.
- Exceptions. These limits don't apply to liability that the law doesn't allow to be limited, such as liability for fraud or gross negligence.
15. Indemnification
The Practice will defend and indemnify BrandKlout against third-party claims, and the related losses and reasonable legal fees, that arise from:
- Patient information or PHI entered into the Service by its team
- Its team's breach of these terms
- Statements its team makes to real patients
- Its employment decisions about team members, including any use of scores or certification
- Its failure to give team members the notice required in section 7
BrandKlout will promptly notify the Practice of the claim and reasonably cooperate. The Practice won't settle a claim that admits fault for BrandKlout or binds it without BrandKlout's written consent.
16. Governing law and disputes
California law governs these terms, without regard to its conflict-of-law rules. Before filing a claim, each side agrees to send the other a written description of the dispute and to try in good faith to resolve it for 30 days.
If that doesn't resolve it, the dispute will be decided only in the state or federal courts in San Bernardino County, California, and both sides consent to those courts. Either side may seek urgent relief in any court to protect its intellectual property or confidential information.
If you're in Canada, nothing in this section limits rights you have under your province's laws that can't be waived.
17. Changes to these terms
We may update these terms. We'll post the new version here with a new effective date. If a change is significant, we'll tell Practice administrators by email or in the Service at least 30 days before it takes effect. If you keep using the Service after a change takes effect, you accept the new terms.
18. General
- Entire agreement. These terms, the Privacy Policy, and any order form are the whole agreement about the Service. If they conflict, the order form controls, then these terms.
- Severability. If a court finds part of these terms unenforceable, the rest still applies.
- No waiver. If we don't enforce a term right away, we can still enforce it later.
- Assignment. You can't transfer these terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Force majeure. Neither side is liable for delays caused by events outside its reasonable control.
- Notices. We send notices to the email on file. Send notices to us at the address below.
- Relationship. BrandKlout is an independent contractor. Nothing in these terms makes BrandKlout an employer of a Practice's team members.
